According to Associations Law, Article 11. par. 2 and 3 (“Narodne novine” issue 88/2001) the Institutional assembly of Association of collectors and antiques dealers “Libertina” held in Zagreb at the date 11/07/2005, announced this

STATUTE

I. GENERAL TERMS

Article 1
The Statute regulates the issues of title, location, aim, activity, management, internal organisation, finances and other issues important for the activity of Association of collectors and antiques dealers Libertina (in further text designated as Association)
The Association is non-government and non-profit organisation.

Article 2
The Association’s title is: “Udruga kolekcionara i antikvara Libertina“
The shorted title of the Association is: “Udruga kolekcionara Libertina”
Besides the title in croatian language, the Association will legaly use the title in english language:
" Association of collectors and antiques dealers Libertina”
The Association operates on the territory of Republic of Croatia.

Article 3
The Association’s offices are in Zagreb, 10 Varicakova street.
The decision of changing the location of offices is brought by the Presidium of the Association. The legal representatives of the Associations are the President and the Vice-president of the Association.

Article 4
The Association can found its branches.
The decision of branch foundation is brought by Presidium. The decision will contain the title, location and the organisation of the branch.
The branches are not independent legal persons.

Article 5
The Association has its stamp. The stamp is round shaped, 30mm in diameter. Near the edge of the stamp the title “Udruga kolekcionara i antikvara Libertina” and Associatoin adress is printed. The central area of the stamp containt the back side of the ancient Libertina coin of Dubrovnik.
The stamp is authorised to and kept by the President, Vice-president and other members of the Association who are allowed by them to use it.

II. THE AIM AND THE ACTIVITY

Article 6
The aim and the purpose of Association is the popularisation of collectionary activities.

Article 7
To fulfill its aim described in Article 6, the Association will do the following activities: participate in organisation of antiques and art exhibitions; publicate the guides for collection, antiques, restoration according to special regulations; cooperate with the tourist organisations; introduce its members to the actual laws regarding this kind of activity; design and master the web portal; cooperate with the other collector’s organisations and auction houses in the country and worldwide; help the young collectors by organising the lectures and seminares; cooperate with custodians, art historians, museums and domestic and foreign experts in the field of collection and antiques; participate in all activities regarding keeping and preserving the
cultural and artificial goods of Republic of Croatia.

III. THE MEMBERSHIP

Article 8
The member of the Association can be every adult and workable individual, who is interested in Association activites and who accepts the Articles of the Statute. The members of associations can also be the legal persons through their representatives. The membership can be the regular and honor membership. Regular members of the Association are paying the annual membership fee in the amount declared by the Presidium.

Article 9
The individual or legal person who wishes to become a regular member of the Association must fill the entry document which is given to the President. The President and the Vice-president are to decide about the reception of the member. Regular members are signing the entry document in which they bound themselves to participate the Association’s activities and to obey the Articles of its Statute and other legal documents and decisions of the Association’s management.
Article 10
The management can name the honoured members of the Association. The person who has significaly contributed the activities of the Association can be named the Honoured member.

Article 11
The members of the Association can:
- Participate in Association’s activities
- Be informed about Association’s activities
- Elect and be elected in Association’s management

The members of the Associations must
- Obey the decisions of Association’s management
- Obey the Articles of the Statute
- Pay the annual membership fee

The membership is canceled:
- By own request of the member
- By exclusion because of not paying the membership fee for the actual year
- By esclusion because of dissobeying the Articles of the Statute

The exclusion decision is brought by the Presidium. The excluded Jmember can appeal to the Association Assembly within 15 days after the receiption of the decision. The Assembly must decide about the appel within 30 days after the reception of the appeal. The exclusion decision of the Assembly is final.

IV. ASSOCIATION MANAGEMENT AND COMITEES

Article 13
The management of the Association are
- The Assembly and
- The Presidium

Article 14
The Association Assembly is the highest management body of the Association. The Assembly consists of all Association members.

Article 15
The Association Assembly is in charge for the following activities:
- Issues the statute and other general documents of the Association
- Issues the financial reports
- Decides about organisational and structural changes and the cancelation of Association
- Decides about annual membership fee ammount
- Decides about appeals against the decisuons of the Presidium.
- Issues all of the decisions about the Association activity for which the Presidium is not authorised for.
The Assembly meeting can be Regular, Elective and Exceptional. The regular Assembly meeting is held once a year, while the elective meeting is held every two years.
Presidium assembles the meeting by own decision and it is obliged to issue a invitation to the members at least 7 days before the meeting.
The Invitation of assembly must contain the schedule, date and the location of the meeting.
If at least 10 regular members of the Assocation request Assembly meeting, the Presidium is obliged to aseemble the Exceptional meeting.
If the Presidiuum does not assemble the meeting within 30 days of the Request reception mentioned in šar. 6 of this Article, the meeting can be assebled by the nominators (it must contain the schedule, date and the location of the meeting).

Article 16
The Assembly decisions are legal if more than one half of regular members of the Association are present at the meeting.
The decisions are brought by one half majority of the present members, except if the Statute regulates the majority of a different proportion.

Article 17
Presidium of the Association manages the Association activities.
Presidium consists of two members,
Presidium is executive. The President of the association assebles the meeting of the Presidium and manages the activity of the Presidium.
President is the legal representative of the Association, and is responsible for legality of its activities. The mandate of the president lasts for two years. The President of the Association is also a President of the Presidium.

Article 18
President of the Association can be suspended before the end of the mandate:
- By own request
- If the president doesn’t follow the instructions of Assembly
- If the president acts against the Law or the Statute
- If the president damages the Association reputation by personal acts.
The suspension decision is brought by the Assembly if requested from at least ten regular memebers of the Association. In case of suspension, the Assembly will decide if the suspended president would remain the member of the Association.
Presidents represents the Association, requests arguments about issues of the Assembly and the Presidium, manages the Assembly and Presidium activity, and takes care about public relations of the Assembly and its comitees.
In case of the absence of the President, Vice-president takes his place in all of the activities. The vice-president is elected for two year mandate by the Assembly.

Article 19
Association Presidium
- Prepares the Statute and other documents of the Association
- Assembels the meeting of the Assembly, proposes the schedule and prepares all the necesary materials and documents fot the meeting,
- Executes the Assembly decisions.
- Accepts new members and proposes the nomination of honoured members.
- Decides about the cancelation of the membership.
- Decides about the change of the adress and offices of the Association.
- Keeps the list of Association members.
- Decides about the Association budget.

Article 20
All decisions of the Presidium are brough unanimously.
Presidium meetings are held by necessity, which is decided by the President , but at least once in 3 months.
Presidium reports its activities to the Assembly.
Presidium issues annual reports to the Assembly.
The mandate of the Presidium members is two years.

V. ASSOCIATION PROPERTY, REFUNDATION AND FISCAL YEAR

Article 21
Association gains the property from the membership fee, tributes, budget donations and all the other legal resources. The property of the Association is: money, movable items, real estates and other propertial rigths.
All gathered funds are used exclusively for the fulfillment of Association aims and activities.
The Presidium decides about the budget.

Article 22
For all valid expeditures regarding the fulfillment of Association activities, the members have the right for refund and prize.
The refund and prize ammount is decided by Presidum.

Article 23
The fiscal year of Association begins at Jaunuar 1st and ends at December 31st within the same year.

VI. CEASE OF THE ASSOCIATION

Article 24
The Association ceases its activities for the legal reasons.
The decision about the cease is brought by two third majority of all members of the Assembly.

Article 25
In case of cease of the activity of the Association, its property is donated to a charity fund or humanitarious organisation, according to the decision at the final meeting of the Assembly.

VII. INFORMING OF THE MEMBERS

Article 26
Association members have the access to all Association activities and decisions brought by its comitees.
The information about the Association and its comitees activity and the decisions brougth are issued to the members by electronic media which is updated monthly.

VIII. FINAL TERMS

Article 27
This Statute is valid from the day of Association registration in competent governmental bureau.
